Privacy Policy

Definitions

In this Policy, references to “Provider,” “we,” “our,” or “us” mean AgentHubb LLC. References to “you,” “User,” “licensee,” “licence holder,” and “your” are to users of services provided by AgentHubb LLC.

Please refer to common terms in the User Agreement.

Preamble

This Privacy Policy explains the collection, use, and disclosure of “Personal Data” by AgentHubb LLC. As used in this policy, “Personal Data” means information that would allow a party to identify you, such as your name, address, location, telephone number, or email address.

Please take a moment to read the following to learn more about our information practices, including what type of Personal Data is gathered, how the Personal Data is used and for what purposes, to whom we disclose Personal Data, and how we safeguard your Personal Data.

This Privacy Policy also explains our commitment to you with respect to our use and disclosure of non-personal browsing and site usage data that we collect as the provider of the Services.

Unless otherwise noted on a particular site or service, this Privacy Policy applies to your use of all Services provided by AgentHubb LLC, including Portals, Channels, News Feeds, Profiles, Learning, Instant Messages, together with other services and platforms operated by us and any related services, tools, or applications.

Except for trials, demonstration portals, and our portals, we do not operate or manage licensed Private Portals, though as part of the licensing agreement we will provide upgrades, backups, and maintain security certificates, as required. Where a license holder does not use SSL, they are required to maintain an SSL security certificate for custom domain names.

Where a license holder opts to use this general privacy policy document, supplemental Privacy Policy terms (“Supplemental Privacy Policy Terms”) may apply to a particular Service. Any such Supplemental Privacy Policy Terms must be made clearly available by the license holder to the end user of the portal.

Our privacy practices may vary among the states in which we operate to reflect local practices and legal requirements (“Applicable Data Protection Laws”), but in general, we comply with U.S. data protection laws.

According to Applicable Data Protection Laws, you may be entitled to know the identity of your “Data Controller,” i.e., the legal entity that determines why and how your personal data is processed. In most cases, this will be AgentHubb LLC. In the event a related entity of AgentHubb LLC is responsible for processing your Personal Data as a Data Controller, we will make you aware of this when you purchase the relevant product or service from us.

Our most important asset is our relationship with our user community. We are committed to maintaining the confidentiality, integrity, and security of the Personal Data of our users.

By accessing or using any of the Services, you are accepting and agreeing to the practices described in this Privacy Policy.

Our Principles

AgentHubb LLC is committed to handling responsibly the information and data we collect about you through our Services, whether Personal Data or non-personal browsing and site usage data. We have designed our Privacy Policy consistent with the following principles (the “Principles”):

1. Only the minimum amount of information reasonably necessary to provide you with Services should be collected and maintained, and only for so long as reasonably needed or required.

2. Information you provide through our Services or that we gather as a result of your use of our Services should not be used for marketing or advertising purposes (unless permission has been granted to the Super Administrator of the portal), nor should it be provided voluntarily (without your permission) to anyone else unless required.

3. If we are required to provide anyone with your Personal Data (whether by subpoena or otherwise), then provided we have collected and retained an email address for you, we will use reasonable means to notify you promptly of that event, unless prohibited by law or we are otherwise advised not to notify you on the advice of lawyers.

Personal Data we Collect

We may collect Personal Data through our Services, including, without limitation:

- When you provide us with your Personal Data, such as by sending an email to us or signing up to receive updates from us.

- When you subscribe to one of our News feeds, Channels, Group chat, Surveys, Learning, Instant Messages, special notifications, email, app, and web notifications, or related services.

- When you create a user Profile.

- When you provide Personal Data in connection with your participation in News feeds, Group chat, Channels, Surveys, Learning, Instant Chats, Messages, special group notifications lists, email, app, push and web dropdown notifications, or related services.

- Cookies used to track logins, sessions, and collect anonymous traffic.

- Payments for managing your finances, including payments and withdrawals, including other use of PayPal, Stripe, or other payment services as required or applicable.

- Registration or connection via your logins and APIs, including but not limited to LinkedIn, Facebook, and Google.

- IP addresses, URLs visited, and related information recorded for all site visitors for the purpose of site traffic analytics and captured as part of normal operation in our server logs.

What AgentHubb LLC does with Personal Data

We use the collected data for various purposes, including but not limited to:

- To provide and maintain our Service.

- To notify you about changes to our Service.

- To allow you to participate in interactive features of our Services when you choose to do so.

- To provide customer support.

- To gather analysis or valuable information so that we can improve our Service.

- To monitor the usage of our Service.

- To detect, prevent, and address technical issues.

- To provide you with news, special offers, and general information about other goods, services, and events which we offer that are similar to those that you have already purchased or inquired about unless you have opted not to receive such information.

Retention of Data

We will retain your Personal Data generally for as long as is necessary for the purposes set out in this Privacy Policy. We will retain and use your Personal Data to the extent necessary to comply with our legal obligations (for example, if we are required to retain your data to comply with applicable laws), resolve disputes, and enforce our legal agreements and policies.

Disclosures of Personal Data

In general, it is not our practice to disclose Personal Data to third parties. We may share your Personal Data in two instances:

1. First, we may share Personal Data with Private Portal Administrators, our contractors, and service providers to maintain, enhance, or add to the functionality of the Services.

2. Second, we may disclose your Personal Data to third parties in a good faith belief that such disclosure is reasonably necessary to (a) take action regarding suspected illegal activities; (b) enforce or apply our User Agreement, Privacy Policy, and Private Portal Agreement; (c) comply with legal process, such as a search warrant, subpoena, statute, or court order; or (d) protect our rights, reputation, and property, or that of our users, affiliates, or the public.

Transfer of Data

Your information, including Personal Data, may be transferred to — and maintained on — computers located outside of your state, province, country, or other governmental jurisdiction where the data protection laws may differ from those of your jurisdiction.

We will take all steps reasonably necessary to ensure that your data is treated

Definitions

“Account” (or User Profile) means the account you open when you register on the Service.

“Approved Expert” means a user designated as an Expert with permissions set in Super Admin settings.

“Channels” Where enabled, users may publish channels as private, paid, VIP-only, or public, and you may receive channel news and updates as posted, including comments, likes, and replies.

“Channel Admin” or a “Channel Administrator” means a user who has invited to help administer a given Channel.

“Channel Guru” means the creator, publisher, and account holder of a Channel, who is responsible for managing, access requests, admin invitations, and/or accepting membership payments to access a given Channel.

“Expert Services” are services provided by an Approved Expert to a learner or user on a given portal.

“Follow” Users may see posts in their feed based on the users and channels they are following.

“Group Chats” Channel Gurus and admins may form Groups, and we use the information provided to facilitate search and setup of Groups, including selection of a given Portal or channel.

“Inactive Account” means a User Account that has not been logged into for a continuous 12-month period.

“Instant Messages” We use the Personal Data you provide to us as part of your experience of receiving and sending Messages on the system, and any email, push notifications (or SMS notifications, where available), as defined in Settings or by the Super Admin of a given Portal.

Privacy and Intellectual Property Protection

Our Privacy Policy explains how we treat your personal data and protect your privacy when you use our Services. By using our Services, you agree that AgentHubb LLC can use such data in accordance with our privacy policies.

We respond to notices of alleged copyright infringement and terminate accounts of infringers according to the laws of the United States. If you believe that your Intellectual Property rights have been violated, please notify us, and we will investigate your notification. Please contact us by emailing us at support@agenthubb.com.

Use of Artificial Intelligence Tools

We may use other applications like ChatGPT (https://chat.openai.com) to assist course builders in rapidly producing content. All Users using this feature are required to check all content produced before publication and accept responsibility and liability for any content produced, as if the course builder wrote and produced all the content without the support of artificial intelligence. It is further understood that AgentHubb LLC and related parties accept no liability nor responsibility for any cases if and where content is produced that has a negative impact on the Learners or users of their published or unpublished content.

Fees and Charges

We charge as outlined in Plans and fees and charges, which we may change from time and time.

Unless otherwise stated, all fees are quoted in US dollars.

Taxes

You are responsible for paying any taxes, including any goods and services or value-added taxes, which may be applicable depending on the jurisdiction of the services provided. These taxes will be added to fees billed to you, if applicable.

You must also comply with your obligations under income tax provisions in your jurisdiction.

Payment Administration Agent

We may, in our sole discretion, from time to time, appoint an agent to accept or make payments (including merchant facilities) from or to Users on our behalf. Such a person will have the same rights, powers, and privileges that we have under this User Agreement and will be entitled to exercise or enforce their rights, powers, and privileges as our agent or in their own name. In no event shall we be liable to any User for any loss, damage, or liability resulting from the Payment Administration Agent’s negligence and/or acts beyond the authority given by AgentHubb LLC.

User Consents and Warranties

You consent to the following:

• We may display your name or company/business name, logo, images, or other media, your public profile, and Profile Opinions and Ratings, as part of the Service and/or other marketing materials relating to the Service.

Advertising

You may engage with other entities or sponsor advertisements on your Private Portal so far as the advertisement complies with the law of the local jurisdiction and Private Portal Contract.

Business uses of our Services

If you are using our Service on behalf of a business/company/organization, that business/company/organization accepts these terms and agrees to comply with them.

About these Terms

We may modify these terms or any additional terms that apply to a Service and will notify you of significant changes to terms.

Changes addressing new functions for a Service or changes made for legal reasons will be effective immediately. If you do not agree to the modified terms of a Service, you may discontinue your use of that Service.

If there is a conflict between these terms and the additional terms, the additional terms will be paramount.

These terms control the relationship between AgentHubb LLC and you. They do not create any other beneficiary rights.

If you do not comply with these terms, and we don’t act right away, this doesn’t mean that we are giving up any rights that we may have (such as acting in the future).

If it turns out that a particular term is not enforceable, this will not affect any other terms.

The laws of the United States will apply to any disputes arising out of or relating to these terms or the Services. All claims arising out of or relating to these terms or the Services will be litigated exclusively in the courts of the United States, and you and AgentHubb LLC consent to the exclusive jurisdiction of those courts.

Whole Agreement

These terms and any applicable additional terms constitute the entire agreement between you and AgentHubb LLC relating to the Service and supersede all prior communications and/or agreements between you and AgentHubb LLC relating to access and use of the Services.

Disclaimer of Warranties

To the fullest extent permitted by applicable law, AgentHubb LLC offers the Service (including all content available on or through the Service) as-is and makes no representations or warranties of any kind concerning the Services, express, implied, statutory, or otherwise, including without limitation, warranties of title, merchantability, fitness for a particular purpose, or non-infringement.

The Provider does not warrant that the functions of the Services will be uninterrupted or error-free, that content made available on or through the Services will be error-free, that defects will be corrected, or that any servers used by AgentHubb LLC are free of viruses or other harmful components.

Limitation of Liability

To the fullest extent permitted by applicable law, in no event will AgentHubb LLC be liable to you on any legal theory for any incidental, direct, indirect, punitive, actual, consequential, special, exemplary, or other damages, including without limitation, loss of revenue or income, lost profits, pain and suffering, emotional distress, cost of substitute goods or Services, or similar damages suffered or incurred by you or any other that arise in connection with the Services (or the termination thereof for any reason), even if AgentHubb LLC has been advised of the possibility of such damages.
